CORPORATE/BUSINESS PRACTICE

The firm's corporate/business practice provides a broad range of business-related legal services to both privately held and public corporations. Our business/corporate group provides legal counsel in the following areas:

• Corporate governance and compliance. Articles, Bylaws, Shareholder Agreements. We advise public companies on regular reporting requirements and on Sarbanes-Oxley.

• Business Finance. This includes the range of transactions from private placements, to venture capital transactions, to mezzanine financings, to public offerings (including agency agreements and underwritings).

• Emerging Companies. This includes sole proprietorships, or the formation of limited liability companies (LLCs), corporations and partnerships. Emerging companies face many legal issues from technology protection issues to financing issues.

• Closely held businesses. We can serve as an outside general counsel and handle a wide range of business law issues. This includes routine contracts, employment agreements, deferred compensation arrangements, and other business matters.

• Merger and Acquisitions. We are experienced in performing legal due diligence and in preparing contracts for the purchase or sale of a business, division or assets.

• Broker-Dealer. This includes NASD and SEC compliance and customer complaint issues, including unauthorized trades, unsuitable trades and churning complaints.

• Mediation/Arbitration. Jule Hannaford is a registered neutral (mediator) with the State of Minnesota. He has mediated corporate and business disputes.

Recent projects which we feel were particularly helpful to clients have included:

• A client recently purchased a licensed broker/dealer firm.

• A client recently undertook a $900,000 private placement of common stock.

• A client recently obtained a $500,000 judgment to recover a fraudulently induced investment.

• A client recently joined a new technology firm, signed a significant employment and non-compete agreement and raised new equity for the firm.
